Introduction and Acceptance
NYCA LABS is the software product brand operated by NYC Capital Asia Inc. (“Company,” “we,” “our,” or “us”).
These proposed Terms cover use of the website, published content, and applicable software and services, including GRIDORA AUTOTRADER, FIXORA, COSTENLY and RENEWLY.
Where a service presents terms for acceptance, the applicable terms govern upon acceptance. Browsing the public website does not start a paid subscription. Where separately accepted product terms conflict with these Terms, those product terms govern use of that product, subject to mandatory law.
Company and Products
NYCA LABS develops software intended to improve clarity, efficiency, and user control.
Our products cover digital asset trading tools, equipment and maintenance information, restaurant cost analysis, and subscription management.
Some products and features are available, while others are prototypes, experimental, planned, or in development. Concept illustrations, demonstrations, expected features, and projected launch dates do not constitute a guarantee of availability.
Eligibility and Lawful Use
Users of software involving financial transactions must be at least 18 years old and legally capable of entering binding agreements.
You may use our products only for lawful purposes and in jurisdictions where their use is permitted. You are responsible for maintaining accurate account information, securing devices and credentials, and complying with laws applicable to your activities.
You must not use our services for fraud, unauthorized access, market manipulation, intellectual property infringement, or other unlawful conduct.
Software License
Subject to the applicable product terms, NYC Capital Asia Inc. grants authorized users a limited, non-exclusive, non-transferable license to install or use the software within the permitted scope of the applicable plan.
The software is licensed, not sold. Ownership of the software and related intellectual property remains with the Company or its licensors.
Except as permitted by applicable law or the relevant license, users may not reproduce, redistribute, sell unauthorized copies, bypass license protections, or reverse engineer proprietary software.
Authorized backups, statutory interoperability rights, and applicable open-source license permissions remain unaffected.
Product-Specific Responsibilities
GRIDORA AUTOTRADER: Users retain responsibility for trading decisions, approved wallet permissions, local device security, recovery backups, and transaction costs. The Company does not provide investment management or guaranteed trading returns.
FIXORA: Equipment information and troubleshooting assistance are informational tools. Users must follow manufacturer instructions and applicable safety requirements. Hazardous maintenance or repair must be handled by appropriately qualified professionals.
COSTENLY: Invoice extraction, price comparisons, cost estimates, and discrepancy alerts may require user verification. Generated information is not a substitute for accounting records or professional review.
RENEWLY: Renewal reminders and subscription information depend on the data provided or recognized. The service does not cancel a third-party subscription, prevent a charge, or guarantee a refund merely by displaying a reminder or opening a provider's website.
Intellectual Property
The NYCA LABS website, original software, designs, trademarks, logos, text, and proprietary materials are protected by applicable intellectual property laws.
Third-party trademarks, libraries, manuals, data sources, and software remain the property of their respective owners and are used subject to applicable permissions and licenses.
Third-Party Services
Our products may interact with independently operated services, including blockchain networks, wallet providers, cloud hosting platforms, payment processors, manufacturers, and external websites.
We do not control the availability, accuracy, security, or business practices of independent third parties. Their separate terms and privacy policies may apply.
Accounts, Payments, and Subscriptions
If we offer a paid plan, review the applicable pricing, taxes, billing frequency and purchase terms before authorizing payment.
Where an offer renews automatically, the applicable disclosures, consent and cancellation requirements must be addressed before offering it. See Refund & Cancellation and the accepted product terms.
Installing or deleting software does not by itself start or cancel a paid subscription.
Software Updates and Availability
We may update software to improve functionality, correct errors, maintain compatibility, or address security issues.
Features may change for technical, operational, legal, or security reasons. Where required, we will provide notice and applicable remedies for material changes to paid services.
Uninterrupted access, compatibility with all devices, and error-free operation are not guaranteed.
Privacy and Security
Our handling of personal information is described in the NYCA LABS Privacy Policy and any applicable product-specific privacy notice.
Users should never provide private wallet keys, recovery phrases, passwords, or complete payment-card information to customer support.
Disclaimer of Warranties
To the extent permitted by applicable law, our website and software are provided on an "as is" and "as available" basis.
We do not guarantee that software will always be uninterrupted, free from errors, suitable for every particular use, or capable of preventing all financial, technical, operational, or security losses.
Nothing in these Terms limits mandatory consumer protections or warranties that cannot legally be excluded.
Limitation of Liability
To the extent permitted by law, the Company is not responsible for indirect, incidental, special, or consequential losses caused by use of the services.
No limitation in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud, willful misconduct, or other non-waivable statutory rights.
Any additional monetary liability limit must be established in the applicable accepted product agreement.
Suspension and Termination
We may suspend or terminate access to licensed services for material violations, nonpayment, fraud, security threats, or legal requirements, subject to applicable law.
Where reasonable, notice and an opportunity to remedy a violation will be provided. Termination does not transfer ownership of any user-controlled blockchain assets to the Company.
Governing Law
These Terms are generally governed by the laws of the State of New York, United States, subject to mandatory protections that apply to consumers in other jurisdictions.
Disputes may be brought before a court of competent jurisdiction. Nothing here removes rights to use a legally required consumer protection or dispute process.
Changes to These Terms
We may revise these Terms to reflect changes in our products, practices, or legal requirements.
Material changes to existing paid agreements will receive the notice or consent required by law. Revised Terms will show an updated date and will not retroactively remove accrued legal rights.
